Introducer Agreement

Appointment
You are appointed on a non-exclusive basis to introduce prospective clients requiring commercial finance products to Cubik Commercial Ltd (“the Company”). This agreement does not create any employment, agency, partnership or joint venture between the parties. You have no authority to enter into any agreement, give any advice, or make any representation or warranty on behalf of the Company.
Referral process
Each referral must be made through the Company’s designated channel. By submitting a referral you confirm that the client has given informed consent to be introduced, that the information you provide is accurate and complete to the best of your knowledge, and that the client has not been pressured, incentivised improperly, or misled in any way.
Accuracy & non-fraudulent conduct
You warrant that all client information you provide is truthful and accurate. You must not submit, assist with, or encourage any application that is false, inflated, misleading or fraudulent. Any suspected breach of this clause may be reported to the relevant authorities, including the National Crime Agency, and will result in immediate termination.
Anti-money laundering
You will carry out reasonable identity checks on the clients you introduce, will not introduce any client whose funds you know or suspect may be the proceeds of crime, will cooperate promptly with any anti-money laundering information request from the Company, and will maintain relevant records for a minimum of five years. You must not “tip off” any client about a suspicious activity report or related enquiry.
Confidentiality & intellectual property
All tools, rate cards, calculators, criteria documents, pricing, and platform access made available to you are the exclusive intellectual property of Cubik Commercial Ltd and must be kept strictly confidential. You must not copy, distribute, or use them to create or support any competing service. These obligations survive termination of this agreement indefinitely.
Data protection
Both parties will comply with the UK GDPR and the Data Protection Act 2018. You will only share personal data that the client has consented to share, will process it only for the purpose of the introduction, and will keep it secure. Each party remains responsible for its own compliance obligations as a data controller in respect of the personal data it holds.
Introducer fee
Any introducer fee or commission arrangement will be agreed separately in writing and is only payable on the successful completion of a case. No fee is payable in respect of any case that does not complete, or any application found to be fraudulent or in breach of this agreement.
Termination
Either party may terminate this agreement at any time by giving fourteen (14) days’ written notice. The Company may terminate immediately, without notice, in the event of a breach of the Accuracy & non-fraudulent conduct, Anti-money laundering, or Confidentiality & intellectual property clauses.
Governing law
This agreement, and any dispute or claim arising out of or in connection with it, is governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
